Article I-Mission

The Capstone Women's Network seeks to enrich the life experiences of women at The University of Alabama by providing networking opportunites, sponsoring informative lecture and giving scholarship support to women studying at The University.

 Article II-Membership and Dues

Any woman employed by The University of Alabama or who is a graduate student is eligible for membership. Women who retired from The University (to be referred to henceforth as "retirees") are also eligible for membership.

Article III-Governance Structure

A. Governance Structure

The business affairs and property of the organization will be managed by a Board of Directors. The Board will be composed of 15 individuals who will be members of the organization.

B. Election and Tenure

1. Each year five directors will be elected from the membership to serve three-year terms which begin in May of the year of election.

2. The process of election will be as follows:

a. Nominations will be solicited from membership in February.

b. Ballots will be distributed to the membership in March.

c. New members of the Board will be announced at the April meeting.

3. A director will be dismissed from the Board if she fails to attend three consecutive regular meetings of the Board without informing the chair in advance of her absence.

4. In the event of the resignation or dismissal of a Board director, the Board will fill the unexpired term by revisiting the previous election's list of nominees and inviting the nominee who received the next highest votes to fill the vacancy. If this method does not yield a nominee, the chair will solicit nominations from the Board; the successful nominee will be determined by vote of the Board. Directors who serve a partial term are then eligible to serve two consecutive full terms.

5. The highest number of consecutive full terms a director may serve is two. No director will serve more than two consecutive full terms on the Board.

C. Meetings.

1. CWN will meeting monthly during the academic year.

2. The Board of Directors will meet regularly during the academic year, separately from the general meetings of the membership.

D. Conditions for a Vote

No business will be brought to a vote unless a quorum of directors is present. A quorum is defined as all members present for a scheduled board meeting.

E. Officers

1. Officers of the organization are elected by vote of the Board.

2. The officers and their duties are:

a. Chair (or co-chairs) sets agenda for and presides at Board meetings, presides at regular meetings, represents CWN at University functions, serves as spokeswoman for the group to the University and the public. The chair (or-chairs) will serve as an ex officio director of the Board for the year following her term, unless she continues to serve as a regular director.

b. Treasurer keeps the books and pays the bills, receives dues and meeting reservations and payments, coordinates lunch service at meeting place for regular meetings, prepares list of attendees for each meeting, serves as or appoints host for each meeting, prepares the budget projection for the coming year.

F. Committees and Rotating Responsibilities

All directors of the Board will serve as officers or members of committees. Members-at-large may also serve on committees at the discretion of the each committee chair. Committee chairs are elected by the members of each committee. The committees and their duties are:

1. Membership solicits members, handles elections, manages database, publishes directory, provides labels as needed.

2. Program coordinates regular program luncheons, publicizes meetings.

3. Social coordinates after-hours social activities including receptions, holiday party, etc.; publicizes social activities.

4. Scholarship and receives applications, publicizes and awards scholarship.

Article IV-Mechanism for Formulating a CWN Position on an Issue

Whenever the organization, as represented by the Board, chooses to take a public position on an issue which relates specifically to the mission of the organization, the chair will poll the Board to find whether there is agreement on the desirability of making a public statement. If such agreement exists, the Board will decide what statement will be made. Unless the Board can reach consensus, no statement will be made as being representative of CWN. Position statements will not include advocacy or endorsements of particular individuals. Article CWN Scholarship

The Capstone Women's Network Scholarship Fund is established by CWN to promote the education of an adult (23 years or older) female student who will be enrolled in The University of Alabama in any course of study during the semester for which a scholarship is given.

The organization reserves the right to terminate the scholarship at any time; to increase or decrease the amount of the annual contribution and amount of the award; and to give multiple scholarships.

The gift of $500 (payable in lump sum) is condition upon the following terms, provisions, and guidelines:

1. The amount of the scholarship(s) will be $500, payable to the recipient at the beginning of the fall semester.

2. Consideration will be given to adult undergraduate female students who reside in the state of Alabama and who require financial aid to continue their education.

3. The recipient will be eligible to retain the scholarship for one succeeding year of her education, provided she demonstrates proficiency in her field of study and provided the committee deems the recipient to be deserving of the scholarship.

4. If an eligible recipient is not found and the scholarship is not awarded, the monies will be carried forward to the next year and be disbursed as deemed appropriate by the committee.

5. The scholarship will be administered through the Capstone Women's Network. The recipient will be selected by a committee composed of members of the CWN Board of Directors.

6. Information about the scholarship will be disseminated through regular University financial aid channels as well as other appropriate media.

The scholarship recipient will also receive an honorary membership in CWN during the period of the scholarship. Membership dues are waived, but payment for lunch meeting is not included in the honorary membership.

Article VI-Adoption of and amendments to the Bylaws

1. Bylaws will be adopted by simple majority of ballots received.

2. Amendments to the bylaws will be introduced by the Board and approved by vote of the membership.
